The new property protocols: A comprehensive framework for the Philippines

For decades, the Philippine real estate market has encountered delays from differing valuations, disjointed legal systems, and slow right-of-way acquisition processes. Landowners dealt with conflicting zonal and assessed figures, while developers watched key infrastructure projects stall in administrative deadlock, affecting project readiness. 

Fortunately, this period of uncertainty is drawing to a close as we shift toward coordinated action, guided by key legislation that will reshape Philippine property and infrastructure into a modern, institutional market.

These laws coordinate land rights, investor incentives, and liquidity to reduce delays. As public infrastructure and private capital align, the Philippines will move from fragmented property management toward a transparent, high-growth real estate market built for lasting economic impact.

Pillars of progress 

Sustainable development starts with a predictable economic climate.

1. Fiscal Foundation: Before committing to any investment choice, it is important to confirm a stable economic setting.

a. The Tax Reform for Acceleration and Inclusion (TRAIN) Law, or Republic Act (RA) No. 10963, launched the Philippines’ Comprehensive Tax Reform Program. Its main aim was to lower personal income taxes for most taxpayers while shifting excise taxes to support infrastructure and social services. The most notable effect involves changes to the Value Added Tax (VAT). Expanded VAT exemptions were narrowed, though essential areas such as education and health stayed exempt.

Additionally, estate and donor taxes were standardized at a flat 6 percent. By replacing complex graduated rates, it removed substantial tax barriers to land transfers, unlocking dormant family-held properties for productive development.

b. As the country’s premier investment stimulus, RA 12066, or the CREATE MORE Act, enhanced the Philippine tax incentives to attract more investment. It introduced a 20 percent corporate income tax rate under a highly competitive incentive regime, strengthening the CREATE Law. Other notable provisions include improved VAT zero-rating.

2. Institutionalizing Market Mechanics: To ensure capital moves smoothly into these projects, four laws simplify operations, flexible financing, and land access.

a. Real Property Valuation and Assessment Reform Act (RPVARA): RA 12001 builds the system’s base. It removes the burden of multiple valuations by setting a central Schedule of Market Values as the shared standard. This central method simplifies valuation through the Real Property Information System, turning it into a data-driven process with regular updates.

b. New Public-Private Partnership (PPP) Code, or RA 11966: By joining a scattered regulatory setup, the new Code speeds approvals, clarifies dispute handling, and sets clear risk rules. This offers local and foreign partners the legal certainty needed to fund major civic and transport work.

c. Investors’ Lease Act: By extending long-term land lease limits for foreign investors, this framework secures tenure for major industrial, commercial, and mixed-use projects, directly increasing long-term foreign direct investment.

3. Speed and Liquidity: Execution and capital mobilization complete the strategic chain.

a. Accelerated and Reformed Right-of-Way (ARROW) Act, or RA 12289: The ARROW Act dictates the velocity of physical development. Its main goal is to improve efficiency and reduce delays in completing crucial infrastructure projects. It expands right-of-way acquisition protocols beyond national agencies to critical private utility and infrastructure operators possessing eminent domain authority. Utilizing RPVARA’s market-based valuations, the law incentivizes negotiated sales by having the government absorb capital gains tax and transfer fees, resolving disputes before ground is broken.

b. Green Lanes for Strategic Investments (Executive Order 18, s. 2023): EO18 requires fast processing for strategic investments across all agencies and local units, removing delays for high-value real estate, clean energy, and infrastructure efforts.

c. Capital Market Efficiency Promotion Act (CMEPA): Real estate expansion requires deep capital markets. CMEPA reduces transaction taxes on financial transfers, lowers friction for secondary market trading, and encourages the launch of sophisticated financial instruments—expanding liquidity for REITs, infrastructure funds, and large-scale real estate developments.

Towards a harmonized ecosystem

Today, these laws have established a unified system that supports both public and private development. This new network offers several benefits that should produce positive effects across the economy. 

Budget Certainty and Predictability: RPVARA provides reliable land prices, encouraging investors who can estimate costs without fearing sudden valuation shifts. Because RPVARA updates occur every three years, investors can plan annual tax and acquisition costs with greater certainty. 

Investor Confidence: The TRAIN and CREATE MORE laws maintain a predictable and competitive tax environment during a project’s span, strengthening investor confidence. Working alongside them, the new PPP Code consolidates a scattered framework by clarifying dispute resolution and setting clear risk-allocation rules, giving local and foreign investors the legal certainty required to fund major civic and transport projects. 

Easy Linkage: This environment is further reinforced by the Investor’s Lease Act reforms and Executive Order 18, which created Green Lanes for strategic investments. By extending long-term land lease limits for foreign investors, the government has secured long-term tenure for industrial and commercial developments, while Green Lane mandates remove bureaucratic delays across all agencies for high-value projects.
